SEC Sues Binance U.S. and Founder for Security Law Violations

 In a general view that looks like attack on the cryptocurrency industry, the U.S. Securities and Exchange Commission (SEC) has filed a lawsuit against Binance U.S. and its founder Changpeng Zhao, alleging violations of several security laws. Binance U.S., the largest and leading cryptocurrency exchange, is facing legal scrutiny over its operations. This lawsuit marks a crucial moment in the regulation of the digital asset market and highlights the growing concerns of regulatory bodies about compliance and investor protection.

The Allegations:

The SEC's lawsuit against Binance U.S. and its founder focuses on the operating unregistered exchanges, broker-dealers, and clearing agencies; misrepresenting trading controls and oversight on the Binance U.S. platform; and the unregistered offer and sale of securities. The regulatory body claims that Binance U.S. operated as an unregistered securities exchange and offered trading services for digital assets that met the definition of securities under federal law such as BNB, BUSD, ADA, SOL, MATIC, FIL, ATOM, SAND, MANA, ALGO, AXS, and COTI.

According to the SEC, Changpeng Zhao and Binance publicly claimed that U.S. customers were restricted from transacting on Binance.com, Zhao and Binance in reality subverted their own controls to secretly allow high-value U.S. customers to continue trading on the Binance.com platform. further, the SEC alleges that, while Zhao and Binance publicly claimed that Binance.US was created as a separate, independent trading platform for U.S. investors, Zhao and Binance secretly controlled the Binance.US platform's operations behind the scenes.

The SEC also alleges that Zhao and Binance exercise control of the platforms' customers' assets,  permitting them to commingle customer assets or divert customer assets as they please, including to an entity Zhao owned and controlled called Sigma Chain. The SEC's complaint further alleges that BAM Trading and BAM Management US Holdings, Inc. ("BAM Management") misled investors about non-existent trading controls over the Binance.US platform,  while Sigma Chain engaged in manipulative trading that artificially inflated the platform's trading volume. Further, the Complaint alleges that the defendants concealed the fact that it was commingling billion of dollars of investor assets and sending them to a third party,  Merit Peak Limited, that is also owned by Zhao. 

Regulatory Concerns:

The SEC's action against Binannce U.S. is part of a broader trend of regulatory scrutiny towards the cryptocurrency industry with the rapid growth of digital assets and their increasing popularity among retail and institutional investors,  regulators around the world are grappling with how to effectively oversee and regulate this evolving market.

One of the main concerns for regulators is the potential for fraud and market manipulation. By subjecting digital assets to existing security laws, regulatory bodies seek to protect investors and maintain market integrity. They also aim to address the risk associated with money laundering, terrorist financing, and other illicit activities facilitated by crypto currencies.

Binance U.S.'s Response:

In response to the SEC suit, Binance see the SEC's complaint as aims to unilaterally define crypto market structure.

"We are disappointed that the U.S. Securities and Exchange Commission chose to file a complaint today against Binance seeking, among other remedies, purported emergency relief. From the start, we have actively cooperated with the SEC's investigations and have worked hard to answer their questions and address their concerns. Most recently, we have engaged in extensive good-faith discussions to reach a negotiated settlement to resolve their investigations. But despite our efforts, with its complaint today the SEC abandoned that process and instead chose to act unilaterally an litigate. We are disheartened by that choice."

Binance further accused SEC for its refusal to productively engage with the company as they are intend to defend their platform vigorously.

The SEC's lawsuit against Binance U.S. sends a strong message to the crypto currency industry that compliance with existing securities laws is essential.
